Wholesale Account Policy

This Wholesale Account Policy explains the requirements for applying for, accessing and maintaining an Atalliance wholesale account.
Atalliance is operated by ALTERTECH ALLIANCE PTY LTD (ABN 88 677 535 661).
This Policy should be read together with our Terms of Sale & Website Use and other applicable Atalliance policies and trading terms.
1. Wholesale Account Eligibility
Atalliance wholesale accounts are intended for genuine businesses and organisations purchasing products for legitimate business purposes.
Applicants may be asked to provide information reasonably required to verify their business and establish an appropriate wholesale account, including:
-
business or trading name;
-
ABN or other applicable business registration details;
-
business address;
-
billing and delivery information;
-
business contact details;
-
store, branch or other business locations;
-
authorised representatives; and
-
other information reasonably required to verify the business or assess applicable trading arrangements.
Submitting a wholesale account application does not automatically create an approved wholesale account.
Atalliance may approve, decline or request further information in relation to an application based on legitimate business, verification, supply, credit or account-management considerations.
2. Account Approval
Once approved, a wholesale account may receive access to products, wholesale pricing, quantity or volume pricing, catalogues, promotions, payment options and other commercial arrangements applicable to that account.
Account approval does not guarantee:
-
access to every product or brand;
-
any particular price or discount;
-
a minimum discount level;
-
access to all product catalogues;
-
trade credit;
-
a particular Credit Limit;
-
continued availability of a particular product; or
-
identical commercial terms to another wholesale customer.
Commercial arrangements may differ between wholesale customers and may also differ between Company Locations where applicable.
Customers will be able to access the products, pricing and commercial arrangements made available to their approved account or Company Location.
3. Company Accounts
Where appropriate, an approved business may be established as a Company within the Atalliance wholesale system.
A Company account may contain:
-
one or more Company Locations;
-
multiple authorised users;
-
billing and delivery details;
-
applicable wholesale pricing and catalogues;
-
payment arrangements;
-
credit arrangements, where separately approved; and
-
relevant account permissions.
The Company is responsible for purchases made by authorised users acting on its behalf.
4. Company Locations
A Company may have more than one approved Company Location where it operates multiple stores, branches, offices, warehouses or other purchasing locations.
Each Company Location may have its own:
-
delivery address;
-
billing information;
-
authorised users;
-
ordering history; and
-
applicable commercial arrangements where relevant.
Customers are responsible for ensuring that orders are placed under the correct Company Location.
Unless Atalliance expressly agrees otherwise in writing, each order must relate to one Company Location and one delivery address only.
Goods within a single order cannot be divided between multiple Company Locations or multiple delivery addresses.
Where goods are required for multiple stores, branches or Company Locations, a separate order must be placed for each location.
5. Authorised Users and Account Permissions
A Company may authorise more than one person to access or use its wholesale account.
Different users may be given different permissions depending on their responsibilities within the business.
Permissions may include, for example:
-
managing Company or Location information;
-
managing authorised users;
-
viewing orders;
-
placing orders;
-
accessing billing information; or
-
performing other account-management functions.
The Company is responsible for determining who is authorised to use its account.
The Company must promptly update or request removal of access where an employee, contractor, representative or other authorised person no longer requires access or is no longer authorised to act for the Company.
Users must not provide account access or credentials to persons who are not authorised to act for the relevant Company.
6. Account Security
Customers are responsible for taking reasonable steps to protect their account credentials and authorised user access.
Atalliance should be notified promptly if a customer becomes aware of:
-
unauthorised account access;
-
compromised login credentials;
-
an employee or representative who should no longer have access;
-
suspicious ordering activity; or
-
materially incorrect account information.
Atalliance may temporarily restrict account access where reasonably necessary to investigate suspected unauthorised, fraudulent or security-related activity.
7. Wholesale Pricing and Commercial Arrangements
Atalliance may make particular products, catalogues, wholesale prices, quantity or volume pricing, promotions, payment options and other commercial arrangements available to a Company or Company Location based on its applicable trading arrangements.
Commercial arrangements may vary between customers.
Access to a particular product, price, catalogue, discount, promotion or commercial arrangement does not create a permanent entitlement to that arrangement.
Atalliance may reasonably review or update account-specific commercial arrangements due to factors including:
-
purchasing volume or purchasing patterns;
-
changes in supplier arrangements;
-
changes in product availability;
-
changes in wholesale costs;
-
account payment history;
-
changes in the customer's trading relationship with Atalliance;
-
promotional or contractual arrangements; or
-
other legitimate commercial considerations.
Any change will apply prospectively.
Commercial terms applicable to an order already accepted by Atalliance will not be retrospectively changed unless agreed with the customer or required by law.
8. Trade Credit
Approval of a wholesale account does not automatically include trade credit.
Trade credit must be separately approved by Atalliance.
Where trade credit is approved, the Company may be assigned:
-
payment terms;
-
a Credit Limit;
-
invoicing arrangements; and
-
other applicable credit conditions.
Trade credit may be reviewed independently of the underlying wholesale account.
The suspension, reduction or withdrawal of trade credit does not necessarily mean that the wholesale account itself has been suspended or closed.
Where permitted by Atalliance, a customer whose trade credit is unavailable may continue to place orders using an available upfront payment method.

9. Account and Business Information
Customers must keep their business and account information reasonably accurate and up to date.
Atalliance should be notified of material changes including changes to:
-
legal entity or business ownership;
-
ABN or other applicable business registration details;
-
business or trading name;
-
billing information;
-
delivery locations;
-
authorised users;
-
key contact information; or
-
circumstances that materially affect agreed credit arrangements.
Atalliance may request updated business or verification information where reasonably necessary to maintain or administer an account.
A material change in business ownership, control or legal entity may require a new account application or reassessment of existing commercial or credit arrangements.
10. Optional Birthday Month
Atalliance may provide an authorised account contact with the option to voluntarily provide their birthday month.
Providing a birthday month is optional and is not required for approval or continued use of a wholesale account.
Where provided, the birthday month may be used for the purposes described at the time of collection, including providing birthday-related benefits, offers or promotional communications where applicable.
Atalliance does not require a full date of birth for this purpose unless there is a separate legitimate reason to collect it.

11. Marketing Communications
Approval or continued use of a wholesale account is not conditional upon agreeing to receive optional promotional marketing communications.
Customers may be offered a separate option to receive communications such as:
-
new product announcements;
-
wholesale promotions;
-
special offers;
-
birthday offers;
-
product updates; and
-
other marketing communications.
Customers who subscribe to promotional communications may unsubscribe using the unsubscribe facility provided in the relevant communication or another available opt-out method.
Account and transactional communications that are reasonably necessary to administer a business relationship are separate from optional promotional marketing communications.
These may include communications relating to:
-
orders;
-
payments and invoices;
-
account administration;
-
account security;
-
returns;
-
warranty matters; and
-
other existing transactions or service matters.
12. Account Reviews
Atalliance may periodically review a wholesale account to ensure that:
-
business information remains current;
-
authorised account access remains appropriate;
-
applicable commercial arrangements remain suitable;
-
credit arrangements remain appropriate;
-
authorised users remain valid; and
-
the account continues to be used for legitimate business purposes.
An account review does not automatically result in suspension or a change to the customer's commercial arrangements.
Atalliance may request additional or updated information where reasonably necessary to complete an account review.
13. Account or Credit Restrictions
Atalliance may reasonably suspend or restrict all or part of an account where legitimate grounds exist, including where:
-
material amounts remain overdue;
-
agreed payment arrangements have not been honoured;
-
fraudulent or unauthorised activity is reasonably suspected;
-
materially false or misleading account information has been provided;
-
the account is being materially misused;
-
there has been a material or repeated breach of applicable trading terms;
-
continued access creates a material legal, security or credit risk; or
-
verification information reasonably required to maintain the account has not been provided.
Depending on the circumstances, Atalliance may restrict a particular account feature, such as trade credit, rather than suspend the entire wholesale account.
Where appropriate, restricted account or credit privileges may be reinstated after the relevant issue has been resolved and the account has been reviewed.
Suspension or restriction of an account does not remove any existing obligation to pay amounts already owing.
14. Account Closure
A customer may request closure of its wholesale account by contacting Atalliance.
Atalliance may also close an account where reasonable grounds exist, including where:
-
the business has ceased trading;
-
the account has remained inactive for an extended period;
-
the customer no longer meets the reasonable requirements of the Atalliance wholesale program;
-
fraudulent or serious misuse has occurred;
-
there has been a serious or repeated breach of applicable trading terms; or
-
maintaining the account creates an unacceptable legal, security or credit risk.
Where practicable and appropriate, Atalliance may provide notice before closing an account.
Closing an account does not:
-
automatically cancel an order already accepted by Atalliance;
-
extinguish unpaid invoices or other outstanding payment obligations; or
-
require Atalliance to delete records that it is legally required or reasonably entitled to retain.
15. Transfer of Accounts
A wholesale account, Company profile, Company Location, pricing arrangement or trade credit facility must not be sold, transferred or assigned to another business without Atalliance's prior approval.
Where ownership or control of a business materially changes, Atalliance may require updated information, verification or a new account assessment.
16. Relationship with Other Policies and Agreements
This Wholesale Account Policy should be read together with:

Terms of Sale & Website Use;
-
Pricing, GST & Stock Availability Policy;
-
Order & Cancellation Policy;
-
Payment & Credit Terms;
-
Refund & Returns Policy;
- Product Issues, Warranty & Claims Policy
- Privacy & Cookies Policy; and
-
Shipping & Delivery Policy, when applicable.
Where Atalliance and a customer have separately agreed to specific written commercial terms, such as an approved quotation, credit agreement or account-specific arrangement, those specifically agreed terms will prevail to the extent of any direct inconsistency.
17. Changes to This Policy
Atalliance may update this Policy from time to time to reflect changes to its wholesale program, systems, business operations or legal obligations.
Updated terms will apply prospectively from their stated effective date.
A later version of this Policy will not retrospectively alter the commercial terms of an order already accepted by Atalliance unless agreed with the customer or required by law.
