Payment & Credit Terms

These Payment & Credit Terms explain the payment requirements, trade credit arrangements, Credit Limits and overdue account rules applicable to Atalliance wholesale customers.

Atalliance is operated by ALTERTECH ALLIANCE PTY LTD (ABN 88 677 535 661).

These Terms should be read together with our Terms of Sale & Website Use, Wholesale Account Policy, Pricing, GST & Stock Availability Policy, Order & Cancellation Policy and other applicable Atalliance trading policies.

1. Payment for Wholesale Orders

Unless separate trade credit arrangements have been approved by Atalliance, wholesale orders must be paid using an available payment method at checkout or in accordance with other payment instructions expressly provided by Atalliance.

The payment methods available to a customer may vary depending on the account, order or applicable commercial arrangements.

Atalliance may require payment to be successfully received or authorised before an order is accepted or fulfilled.

2. Trade Credit Requires Separate Approval

Approval of an Atalliance wholesale account does not automatically include trade credit.

Trade credit must be separately approved by Atalliance.

Where trade credit is approved, the customer may be assigned:

  • a Credit Limit;

  • applicable payment terms;

  • invoicing arrangements; and

  • other reasonable credit conditions applicable to that account.

Approval of trade credit does not create a permanent entitlement to continued credit.

A customer whose trade credit is unavailable may still be permitted to place orders using an available upfront payment method.

3. Credit Limits

An approved trade credit account may be assigned an individual Credit Limit.

The Credit Limit represents the maximum credit exposure Atalliance is prepared to make available to that account at the relevant time.

For the purpose of assessing credit exposure, Atalliance may take into account amounts including:

  • unpaid invoices, whether or not yet due;

  • accepted credit orders that have not yet been invoiced;

  • other amounts properly owing on the account; and

  • the value of a proposed new credit order.

A proposed credit order may be declined, placed on hold or require an alternative payment arrangement where it would cause the customer's total credit exposure to exceed the applicable Credit Limit.

4. Available Credit

Available Credit represents the unused portion of the customer's applicable Credit Limit after relevant existing credit exposure has been taken into account.

For example, where a customer has:

Credit Limit: $5,000
Current credit exposure: $3,500

the customer's remaining Available Credit would ordinarily be:

$1,500

subject to overdue account restrictions, account review and any other applicable credit conditions.

Having Available Credit does not itself guarantee approval of a new credit order.

5. Orders Exceeding Available Credit

Where a proposed order would exceed the customer's Available Credit, Atalliance may offer or require one or more reasonable options, including:

  • payment of some or all outstanding invoices;

  • upfront payment for the proposed order;

  • payment of the amount exceeding Available Credit;

  • reduction of the order value;

  • review of the customer's Credit Limit; or

  • another payment arrangement agreed between Atalliance and the customer.

A request for an increased Credit Limit does not guarantee approval.

Until any requested Credit Limit increase is approved, the customer's existing Credit Limit continues to apply.

6. Payment Terms

Where trade credit is approved, the applicable payment terms will be communicated to the customer or displayed on the relevant account, order, quotation or invoice.

Payment terms may vary between customers.

Depending on the approved arrangement, payment terms may include terms such as Net 7, Net 14 or Net 30.

The due date shown on the relevant invoice is the date by which payment must be received unless Atalliance and the customer have agreed otherwise in writing.

7. Invoices

Customers should review invoices promptly after receipt.

Invoices may identify information including:

  • invoice number;

  • applicable Company or Company Location;

  • products and quantities supplied;

  • GST-exclusive amounts;

  • applicable GST;

  • total amount payable;

  • payment terms; and

  • payment due date.

Customers should notify Atalliance promptly if they reasonably believe an invoice contains an error.

8. When an Invoice Becomes Overdue

An invoice becomes overdue when payment has not been received by its stated due date.

Where an amount is overdue, Atalliance may take reasonable account-management steps including:

  • issuing payment reminders;

  • contacting the customer regarding the outstanding amount;

  • temporarily placing new credit orders on hold;

  • reviewing the customer's trade credit arrangements;

  • requesting payment of outstanding amounts before additional goods are supplied on credit; or

  • requiring future orders to be paid upfront while the account is under review.

An invoice becoming overdue does not automatically close the customer's wholesale account.

9. More Than 30 Days Past Due

Where an amount remains unpaid for more than 30 calendar days after its invoice due date, Atalliance may suspend the customer's trade credit facility.

While trade credit is suspended:

  • new orders may not be accepted on credit;

  • unused Available Credit may be treated as unavailable;

  • outstanding invoices remain payable;

  • existing payment obligations remain in effect; and

  • the underlying wholesale account does not necessarily need to be closed.

Where Atalliance permits, the customer may continue placing new orders using an available upfront payment method.

Payment of overdue amounts does not automatically guarantee immediate reinstatement of trade credit.

Trade credit may be reinstated after the relevant issue has been resolved and the account has undergone an appropriate credit review.

10. Available Credit and Overdue Accounts

The existence of unused Available Credit does not override an overdue account restriction.

For example, a customer may have unused Credit Limit but still be unable to place further credit orders where:

  • an invoice is materially overdue;

  • a payment arrangement has not been honoured;

  • the account is under credit review; or

  • another applicable credit condition has not been satisfied.

Credit availability therefore depends both on the applicable Credit Limit and the customer's compliance with its payment obligations.

11. Credit Suspension Is Separate From Account Suspension

Trade credit and the underlying wholesale account are separate account functions.

Suspension, reduction or withdrawal of trade credit does not automatically terminate or close the customer's wholesale account.

Where appropriate, Atalliance may restrict only the trade credit facility rather than the entire account.

A customer may therefore remain able to:

  • access its wholesale account;

  • view applicable wholesale products and pricing;

  • review previous orders and account information; and

  • place prepaid orders where permitted by Atalliance.

More serious account restrictions may apply separately where there are reasonable grounds under the applicable Atalliance account policies.

12. Credit Reviews

Atalliance may periodically review an approved trade credit arrangement.

A credit review may take into account legitimate factors including:

  • payment history;

  • purchasing volume or pattern;

  • outstanding balances;

  • overdue invoices;

  • compliance with previous payment arrangements;

  • changes in trading activity;

  • material changes in the customer's business relationship with Atalliance; and

  • other relevant credit-risk considerations.

Following a review, Atalliance may reasonably:

  • maintain the existing Credit Limit;

  • increase the Credit Limit;

  • reduce the Credit Limit;

  • temporarily suspend trade credit; or

  • withdraw trade credit.

Where practicable, a material change affecting the customer's future use of trade credit will be communicated to the customer.

13. Reduction of a Credit Limit

Where a customer's Credit Limit is reduced, the revised Credit Limit applies to future credit availability.

Reducing a Credit Limit does not, by itself:

  • change the agreed due date of an invoice already issued;

  • make a properly issued but not yet due invoice immediately payable; or

  • retrospectively change the commercial terms of an order already accepted.

If the customer's existing credit exposure exceeds the revised Credit Limit, Atalliance may decline further credit orders until the exposure has been reduced to an acceptable level.

14. Payment Arrangements

Where a customer is experiencing a temporary payment difficulty, the customer should contact Atalliance as soon as reasonably possible.

Atalliance may agree to a temporary payment arrangement where appropriate.

Any agreed payment arrangement should identify matters such as:

  • amounts to be paid;

  • agreed payment dates;

  • the treatment of outstanding invoices;

  • whether further credit orders will be permitted; and

  • any other agreed conditions.

A temporary payment arrangement does not permanently amend the customer's ordinary payment terms unless expressly agreed.

Failure to comply with an agreed payment arrangement may result in further restriction, suspension or review of trade credit.

15. Invoice Disputes

If a customer genuinely disputes liability for an invoice or reasonably believes the invoiced amount is incorrect, the customer should contact Atalliance promptly.

The customer should provide sufficient information to allow Atalliance to understand and investigate the issue.

Atalliance will review genuine invoice disputes reasonably.

Where appropriate, collection activity relating specifically to the genuinely disputed portion may be paused while the matter is investigated.

Amounts that are not genuinely disputed remain payable according to their applicable payment terms.

Nothing in this section prevents either party from exercising rights or remedies available under applicable law.

16. Payment Allocation

Customers making payment against invoices should provide sufficient payment reference information to allow Atalliance to identify the relevant account and invoices.

Where a payment does not contain clear allocation instructions, Atalliance may reasonably apply the payment against outstanding amounts on the customer's account.

Customers should contact Atalliance promptly if they reasonably believe a payment has been incorrectly allocated.

17. Refunds, Credit Notes and Account Credits

Where a refund, price adjustment, return or other credit is approved, Atalliance may process the applicable amount by:

  • refunding an applicable payment method;

  • issuing a credit note;

  • applying the approved amount against an outstanding invoice;

  • issuing an account credit; or

  • another method agreed with the customer.

An Account Credit is different from a Credit Limit.

An Account Credit generally represents value already credited to the customer, whereas a Credit Limit represents approved capacity to purchase goods on credit.

An Account Credit does not increase the customer's approved Credit Limit unless Atalliance expressly confirms otherwise.

18. Deductions and Set-Off

Customers should not unilaterally deduct anticipated returns, warranty claims, disputed amounts or unapproved credits from an invoice without Atalliance's agreement.

Where Atalliance has approved a credit note or adjustment, the approved amount may be applied in accordance with the relevant documentation or agreed arrangement.

Nothing in this section excludes any right of set-off that cannot lawfully be excluded.

19. Authorised Purchases

The Company is responsible for amounts properly incurred by authorised users acting on its behalf.

Customers are responsible for managing their own:

  • purchasing authorities;

  • internal approvals;

  • authorised users;

  • purchase order requirements; and

  • account access.

A failure in the customer's internal approval process does not automatically cancel a valid order that was placed by an authorised user and accepted by Atalliance.

20. Recovery of Overdue Amounts

Where an undisputed amount remains overdue, Atalliance may take reasonable and lawful steps to recover the amount owing.

Such steps may include:

  • payment reminders;

  • direct communication with the customer;

  • negotiation of a payment arrangement;

  • suspension of trade credit;

  • account review; or

  • other lawful recovery action where reasonably necessary.

Atalliance will not use misleading, coercive, harassing or otherwise unlawful debt recovery practices.

21. No Automatic Late Payment Fee

Unless specific written commercial terms agreed with the customer expressly provide otherwise, Atalliance does not impose an automatic late payment fee solely because an invoice becomes overdue.

This does not prevent Atalliance from exercising another contractual or legal right that has been validly agreed or otherwise applies.

22. GST

Unless otherwise stated, Atalliance wholesale prices are displayed exclusive of GST.

Applicable GST will be calculated and shown separately at checkout and on the relevant tax invoice.

23. Relationship With Other Policies

These Payment & Credit Terms should be read together with:

  • Terms of Sale & Website Use;

  • Wholesale Account Policy;

  • Pricing, GST & Stock Availability Policy;

  • Order & Cancellation Policy;

  • Return & Refund Policy;

  • Product Issues, Warranty & Claims Policy;

  • Privacy & Cookies Policy; and

  • Shipping & Delivery Policy, when applicable.

Where Atalliance and a customer have separately agreed to specific written credit or commercial terms, those specifically agreed terms will prevail to the extent of any direct inconsistency.

24. Changes to These Terms

Atalliance may update these Terms from time to time to reflect changes to its credit processes, systems, business operations or legal obligations.

Updated Terms will apply prospectively from their stated effective date.

A later version of these Terms will not retrospectively change the agreed payment terms or due date of an existing invoice unless agreed with the customer or required by law.
