Pricing, GST & Stock Availability Policy

This Pricing, GST & Stock Availability Policy explains how wholesale pricing, GST, quantity pricing, promotions and product availability are managed on the Atalliance wholesale website.

Atalliance is operated by ALTERTECH ALLIANCE PTY LTD (ABN 88 677 535 661).

This Policy should be read together with our Terms of Sale & Website Use, Wholesale Account Policy and other applicable Atalliance trading policies.

1. Wholesale Prices

Unless otherwise stated, prices displayed to approved Atalliance wholesale customers are exclusive of Goods and Services Tax (GST).

Prices are displayed in Australian dollars (AUD) unless otherwise stated.

The prices available to a customer are the wholesale prices applicable to that customer's approved account or Company Location at the relevant time.

Wholesale pricing may vary between customers or Company Locations according to the commercial arrangements applicable to the relevant account.

A price made available to one customer does not create an entitlement for another customer to receive the same price.

2. GST

Where GST applies, GST will be calculated separately and added to the applicable GST-exclusive amount.

Applicable GST will be shown at checkout and on the relevant tax invoice.

For example, where the applicable wholesale price is:

$100.00 ex GST

the applicable GST would ordinarily be:

GST: $10.00

resulting in:

Total: $110.00 incl. GST

unless a different tax treatment lawfully applies to the transaction.

Customers are responsible for obtaining their own taxation advice regarding GST credits, deductions or other tax consequences relating to their purchases.

3. Account-Specific Pricing

Products, wholesale prices and other commercial arrangements available through Atalliance may depend on the customer's approved account or Company Location.

Customers should rely on the pricing presented to their account at the time an order is submitted.

Access to a particular wholesale price does not create a permanent entitlement to that price.

Atalliance may reasonably update prices prospectively due to factors including:

• changes in supplier costs;

• foreign exchange movements;

• freight or logistics costs;

• product or manufacturer pricing changes;

• promotional arrangements;

• purchasing arrangements;

• changes in applicable taxes or government charges; or

• other legitimate commercial factors.

A later price change will not retrospectively change the price of an order already accepted by Atalliance unless agreed with the customer or required by law.

4. Quantity and Volume Pricing

Certain products may have quantity or volume-based wholesale pricing.

Where quantity pricing is available, the applicable price will depend on the quantity conditions displayed for the product or otherwise agreed with Atalliance.

Unless expressly stated otherwise:

• quantity thresholds apply only to qualifying products or variants specified in the applicable pricing arrangement;

• quantities of unrelated products cannot be combined to reach a quantity threshold;

• the applicable quantity price is determined by the qualifying quantity included in the relevant order; and

• removing or reducing quantities may change the applicable unit price.

Quantity pricing displayed to a customer forms part of that customer's applicable wholesale pricing and may differ from pricing available to another customer.

5. Promotions and Special Pricing

Atalliance may offer temporary promotions, special pricing, product-specific discounts or account-specific offers from time to time.

Promotional terms may specify:

• an eligible product or product range;

• a promotional period;

• minimum quantities;

• maximum quantities;

• eligible customers;

• applicable Company Locations; or

• other reasonable conditions.

Unless expressly stated otherwise, promotional offers cannot be combined with another promotion or special pricing arrangement.

A promotion does not create an ongoing entitlement to the promotional price after the promotion ends.

Atalliance will not retrospectively apply a later promotion or price reduction to an order that was already accepted at an earlier price unless Atalliance expressly agrees to do so.

6. Price Matching

Atalliance does not operate a general wholesale price-match policy.

Prices offered by another supplier, distributor, marketplace or another Atalliance customer do not automatically entitle a customer to a matching price.

Customers may contact Atalliance to request a quotation or commercial review where appropriate.

Any alternative pricing offered by Atalliance is subject to confirmation and applies only in accordance with the terms of that quotation or arrangement.

7. Recommended Retail Prices and Resale Pricing

Atalliance may provide a Recommended Retail Price (RRP), suggested retail price or other pricing information for reference or merchandising purposes.

Any RRP or suggested resale price is a recommendation only.

Unless otherwise permitted by law, customers remain independently responsible for determining the prices at which they advertise or resell products.

An RRP does not guarantee:

• that a product has previously been sold at that price;

• that the customer will achieve a particular margin;

• that the market value of the product will remain at that level; or

• that other retailers will sell the product at the same price.

Customers should independently determine their own retail pricing and commercial strategy.

8. Pricing Errors

Atalliance takes reasonable steps to maintain accurate wholesale pricing.

However, pricing, catalogue, promotional or system errors may occasionally occur.

Where a material pricing error is identified before an order has been accepted, Atalliance may:

• correct the displayed price;

• notify the customer of the correct price;

• invite the customer to proceed at the corrected price; or

• decline or cancel the affected order before acceptance.

If payment has already been received for an order that is not accepted because of a material pricing error, the applicable amount will be refunded or credited as appropriate.

Where a material pricing error is identified after an order has already been accepted, Atalliance will contact the customer and deal with the matter reasonably and in accordance with the applicable Terms and law.

Atalliance will not knowingly rely on an incorrect displayed price in a misleading or deceptive manner.

9. Product Availability

Product availability may change without notice due to customer demand, supplier availability, stock allocation, inbound shipments or other supply circumstances.

Stock information displayed on the website represents the information available to Atalliance at the relevant time but does not guarantee that stock will remain available until an order is accepted and allocated.

Adding a product to a cart does not reserve stock.

Submitting an order does not necessarily reserve or guarantee stock until the order has been accepted and the relevant stock has been allocated or otherwise confirmed by Atalliance.

10. Out-of-Stock Products

If an ordered product becomes unavailable before fulfilment, Atalliance may contact the customer with one or more reasonable options, which may include:

• waiting for replenishment;

• accepting a suitable alternative product;

• removing the unavailable item from the order;

• receiving an account credit where agreed; or

• receiving a refund for the affected item where payment has already been made and the product will not be supplied.

Atalliance will not substitute a materially different product without the customer's agreement.

11. Backorders

Where Atalliance permits backorders, the expected availability or delivery timeframe is an estimate only unless expressly confirmed otherwise in writing.

Estimated arrival dates may change due to supplier, manufacturer, freight, customs or other circumstances outside Atalliance's reasonable control.

Where a material delay occurs, Atalliance may provide the customer with updated information and reasonable options in relation to the affected goods.

Any specific backorder payment, cancellation or fulfilment conditions presented at the time of ordering will also apply.

12. Product Discontinuation and Changes

Manufacturers or suppliers may discontinue products, replace models, change packaging or update specifications.

Where this occurs, Atalliance may update the applicable product listing or remove the product from sale.

Atalliance will not automatically substitute a discontinued product with a materially different replacement without the customer's agreement where the change affects an existing order.

13. Quotations

Where Atalliance provides a separate written quotation, the quotation may contain:

• specific pricing;

• quantity requirements;

• validity periods;

• payment terms;

• product availability assumptions; or

• other commercial conditions.

A quotation is subject to its stated validity period and conditions.

Unless expressly stated otherwise, a quotation does not reserve stock.

Where a separately agreed quotation directly conflicts with general website pricing, the specifically agreed quotation will apply to the transaction covered by that quotation.

14. Resale Margins and Commercial Outcomes

Wholesale pricing is supplied for business purchasing purposes.

Atalliance does not guarantee any particular:

• resale price;

• gross margin;

• profit;

• sales volume;

• market demand; or

• commercial outcome resulting from the purchase or resale of products.

Customers remain responsible for their own resale, inventory and pricing decisions.

15. Relationship with Other Policies

This Policy should be read together with:

• Terms of Sale & Website Use;

• Wholesale Account Policy;

• Order & Cancellation Policy;

• Payment & Credit Terms;

• Refund & Returns Policy;
  

• Product Issues, Warranty & Claims Policy

• Privacy & Cookies Policy; and

• Shipping & Delivery Policy, when applicable.

Where Atalliance and a customer have separately agreed to specific written commercial terms, those specifically agreed terms will prevail to the extent of any direct inconsistency.

16. Changes to This Policy

Atalliance may update this Policy from time to time to reflect changes to its systems, commercial arrangements, business operations or legal obligations.

Updated terms will apply prospectively from their stated effective date.

A later version of this Policy will not retrospectively alter the price or commercial terms of an order already accepted by Atalliance unless agreed with the customer or required by law.
